Data Processing Addendum

This Data Processing Addendum forms part of the Terms of Service between Kensink Labs (the “Processor”) and the customer (the “Controller”) and applies whenever Kensink Labs processes personal data on behalf of the Controller.
1. Definitions
Capitalized terms not defined here have the meanings given in the Terms of Service or in applicable data protection law (including GDPR, UK GDPR, and the CCPA).
2. Scope
Kensink Labs processes personal data only to provide the cloud service, secure the platform, and comply with the Controller’s documented instructions, which include the Terms of Service and the Privacy Policy.
3. Subprocessors
Kensink Labs may engage subprocessors. The current list is published at /legal/sub-processors. We notify customers of changes at least 30 days in advance and the customer may object on reasonable data-protection grounds.
4. International transfers
Where personal data is transferred outside the EEA, the UK, or Switzerland, the parties rely on the EU Standard Contractual Clauses (modules as applicable) and the UK International Data Transfer Addendum.
5. Security measures
Kensink Labs implements the technical and organizational measures described in /legal/security and Annex II of this DPA (available on request).
6. Audit
Once per year, the Controller may request a summary of Kensink Labs’ most recent independent audit. Onsite audits may be arranged with reasonable notice and at the Controller’s expense.
7. Data subject requests
Kensink Labs assists the Controller in responding to data subject requests by providing relevant tooling and, where required, technical assistance.
8. Termination and deletion
On termination, Kensink Labs deletes or returns personal data within 30 days, subject to legal retention obligations.
Draft notice
This DPA is a working draft. The signed counterpart, including Annex I (parties and processing details) and Annex II (security measures), is available on request and will be finalized before public commercial launch.
